Legal Agreement : These Terms and Conditions hereinafter referred as “Terms” are agreed upon as of today, between You or the User hereinafter referred as “You or User”, an individual/entity residing anywhere in the world and Nimo Fitness, a proprietorship firm, having its brand and trade name as “Ezee Diet” and hereinafter referred as “Ezee Diet”, to govern your engagement with and usage of diet, exercise and nutrition advice-providing application via any electronic media viz mobile, PC or any other device/platform.

1. Acceptance of Terms & Conditions: By registering for our website, application, by access or accessing, you agree that you have read, understood, and agreed to be bound by these terms of use including special mention, user terms and indemnity, copyrights and trademark, Jurisdiction, disclaimer and our privacy policy in totality. If you do not agree to be bound by our terms and conditions, you are advised not to use/access the website or any of our mobile applications etc. You shall be deemed to have agreed to and accepted the below-given Terms & Conditions if you Sign Up or Use the Ezee Diet application across any device or platform.

On signing-up/subscribing to Ezee Diet, you will be provided with access to various free resources, health information and health, nutrition, workout, general advice via articles, blogs, vlogs, graphics, GIF’s, Charts, Videos or any form of on diet, workout , yoga, rehabilitation, injuries, nutrition and other health-based topics, hereinafter referred as “Content”. All such Content is under proprietary rights of Ezee Diet and is created either by Ezee Diet or written by our Trainer or Mentor or legally sourced from a network of voluntarily participating nutrition and diet consultancy organizations hereinafter referred as “Partners”.

While you may share the information received from Ezee Diet with your social network, you must ensure at all times that the branding of Ezee Diet is adequately present in the communication and that all due credit is given to Ezee Diet for the Content. Any plagiarism or copying of Content is strictly prohibited and shall be enforced legally. Since Ezee Diet is an web based application that can be accessed via the Mobile Phone, computer/laptop and various other devices, You give your explicit consent to receive Content as well as promotional offers from Ezee Diet and its Partners from time to time on your registered e-mail Id and Registered Mobile Number either by Email, Calls, SMS’s, WAP Pushes as well as by various other means not mentioned here, regardless of whether you are registered on the Do Not Call Registry or with any other such government / regulatory mechanism/body/platform/service. You agree that you cannot in any manner whatsoever bring any legal charges against Ezee Diet or any of its Partners for any Content or Promotional Offers that may be offered to you or accessed by you from time to time.

Ezee Diet reserves the right, at its sole discretion, to make changes to portions or all of these Terms of Use and the Privacy Policy at any time. You are responsible for checking both Terms of Use and the Privacy Policy periodically for changes. Yours uninterrupted and continued use of the website shall mean that you agree to any new or modified provision of these Terms of Use or the Privacy Policy accessible through the site. The Terms shall be deemed to have been accepted by you whenever you sign-up/subscribe for or use Ezee Diet from any device or platform. By signing up/subscribing, you have confirmed that you are above the age of 18 (eighteen) years and acknowledged that you have read & understood the terms completely and agree to abide by the same – on your own behalf and on behalf of your dependents/family. Ezee Diet reserves the right to modify the Terms from time to time and it shall be your responsibility to keep yourself updated with the Terms. You agree in totality to be bound by any such modifications done by Ezee Diet. A copy of the updated terms will be available at www.ezeediet.com from time to time.

User agrees and undertakes:

1. That, all the details have handed/provided over to your fitness Trainer or Mentor, especially your past illness/ surgeries details and that you understand the risks associated with mentioning wrong information/hiding details.

2. That, all relevant medical issues, illness or special conditions are clearly mentioned to the Trainer or Mentor over a written communication and that Ezee Diet will not be responsible for any damage / health issues that may arise out of the same.

3. That, the user will get the diet chart reviewed by a qualified/licensed expert/dietician/physician, before starting the suggested diet plan.

4. That, the user will not stop any ongoing medication without consulting your doctor.

5. That, the user will take multivitamins or any other supplements as suggested by the Trainer or Mentor or franchise only after consultation with your doctor.

6. That, the pictures uploaded on the site are yours and that in case someone their claims right on those, Ezee Diet will not be held accountable.

7. That, the user understand that the Trainer or Mentor at Ezee Diet are not doctors and their advice whether it be on our website, in the meal plans, exercise program's or via email, none of those are meant as a substitute for medical advice.

8. That, the user will be choosing the Trainer or Mentor at your own risk and Ezee Diet will not be held responsible for any injuries or health problems you may experience or even death as a result of using the advice given by the Trainer or Mentor.

9. That, the user are aware of the fact that Ezee Diet is an aggregator and is just a platform to bring Trainer or Mentor and users together and Ezee Diet does not provide.

11. That, the user shall not pay any amount to any of the consultants directly in any account or in cash or in any other means and if user chooses to do so, Ezee Diet shall not be liable for any refunds or claims whatsoever.

12. That, any pictures/images that user shares with us on our website, application, social sites can be used for promotional purposes and you provide your consent for the same by registering on our website www.musclesandwellness.com.

13. That, any user who is conceiving or had a post pregnancy timeframe of 6 months will not involve themselves in any physical activity or dieting regimen without the guidance of their external qualified licensed experts / dieticians / physicians. External here refers to any licensed expert outside Ezee Diet..

14. That, the user cannot make Ezee Diet responsible or liable whatsoever with regards to the health problems that may arise out of dieting or exercising as provided by our consultants of the application be it our website, mobile app or any other means.

15. That, if the user is engaging in any of the exercise program he or she receives through the Website, the user agrees that he or she is doing so at his/her own risk and are voluntarily participating in these activities.

16. That, the user will not defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of other members, consultants, partners or any other person on our website, social pages, application, online forum etc

17. That, the user will not publish, post, upload any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information.

18. That, the user will not upload any filed that contain software or other materials protected by intellectual property laws, unless the user owns or control the rights thereto or have received all necessary consents.

19. That user will not upload or distribute files that contain viruses corrupted files, or any other similar software or programs that may damage the operation of the Website or another’s computer.

20. That user will not download any file, image, text posted by another user on the website, social website, application or any such forum.

19. That the user will not sell the suggested diet chart to anyone, if found doing so the consultant services shall be terminated immediately and the amount (if any) shall be forfeited in full.

20. That, the customer care, grievance cell, consultants shall be available from Monday to Friday between 10:30 AM to 7:00 PM and in case of an exigency they can be contacted on phone via call or text messages.

21. Facebook messenger etc in non office hours shall be the personal choice of the consultant. That the user will not violate any applicable laws or regulations for the time being in force in or outside India; and

22. That, the user will not violate any of the terms and conditions of this Agreement or any other terms and conditions for the use of the Website contained elsewhere herein.

23. That, you have read & understood all general terms and condition, privacy policy, refund policy and I accept all of them in totality without any objection.

User indemnity User indemnity You agree to indemnify and hold Ezee Diet and (as applicable) its service partners, parent, subsidiaries, affiliates, officers, partners, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of the Terms, your violation of any law, or your violation of the rights, contractual or otherwise, of any third party. These obligations will survive any termination of the Terms. To the fullest extent permissible by law Ezee Diet and its Partners, parent, subsidiaries, affiliates, officers, directors, agents, and employees disclaim all possible warranties over the content Ezee Diet makes no guarantees, nor can Ezee Diet be responsible for the quality, accuracy, reliability compliance or legality over any of the Content procured by its Partners. Ezee Diet is not liable for any kind of damages, injury or loss of any nature whatsoever resulting from Content from its Partners.
Further, Ezee Diet does not make any warranty that Content will meet your requirements, or that access to the Content will be uninterrupted, timely, secure, or error-free, or that defects, if any, will be corrected. It is further clarified that any Content downloaded or otherwise obtained through the eMail/App/SMS is used at your own risk and you will be solely responsible for any damage to your mobile, computer system, devices or loss of data that results from the receiving of such content. Ezee Diet is a facilitator in providing access to information related to healthy life style and is helping people to follow a healthy and nutritious diet based on their personal and specific requirements. Ezee Diet does not provide guarantee for any kind of results and outcomes. Further, Ezee Diet is not liable for any cause and effect of the advice. In no event shall Ezee Diet or its Partners undertake any responsibility for any consequence related directly or indirectly to any action or inaction you take based on the content available via the web site, mobile application of Ezee Diet. You must evaluate, and bear all risks associated with, the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content.

Refund Policy

• Refunds are valid only for programs over 12 weeks under any category.
• No refunds shall be made on any plans without trainer.
• All refunds shall be processed within 30 days from the date of refund request.
• No interest shall be paid on the refund amount.
• Refunds shall be made in the account from which the payment has been made or any other account as requested by the user.

The Content of Ezee Diet is owned by Ezee Diet and its Partners. All right to, title to, and interest in the content available via the Ezee Diet Mobile application, Web Site, trademarks, service marks, and trade names displayed on Ezee Diet, and the Web Site URLs, are the property of Ezee Diet and its Partners, and are protected by copyrights, trademarks, patents, or other proprietary rights and laws.

Jurisdiction

This website can be accessed from any place around the world. However, by accessing this website you agree that the laws of India, without regard to rules relating to conflict of laws, will apply to all matters relating to your use of this website. Users of this website accessing it from places outside of India acknowledge that they do so voluntarily and are responsible for complying with local laws. All disputes between Ezee Diet and you shall be/are subject to Indore, Madhya Pradesh (India) Jurisdictions. Any dispute between Ezee Diet and you relating to the services or any of the Terms shall be referred to binding arbitration to be conducted in English by a sole arbitrator appointed by the Founding Team of Ezee Diet at Indore in accordance with the provisions of the Arbitration and Conciliation Act, 1996, whose award shall be final and binding. These conditions shall be governed by and construed in accordance with Indian laws. Ezee Diet reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, at the sole discretion of Ezee Diet. These Terms and conditions constitute the entire agreement between the parties with respect to the subject matter hereof and this supersedes and replaces all previous or coexisting understandings/agreements, written/oral, with respect to the subject matter. If any of these conditions is determined by a court of competent jurisdiction to be illegal, invalid or otherwise unenforceable, that provision shall be severed from these conditions and the remaining provisions shall continue in full force and effect.

You undertake, acknowledge and agree that any and all information provided to you by Ezee Diet is generic in nature and cannot be followed in the face of medical contra-indications. Ezee Diet or its Partners cannot be held responsible in any way whatsoever for whatever consequences that may arise from aforesaid consumption of the Content or advice recommended.
